1. Who we are
These Terms of Service ("Terms") govern your use of virai.com and any related pages, forms and services (together, the "Services") provided under the virAI brand by ELLE VENTURES FZE LLC, a free zone company registered in the United Arab Emirates, with its address at BC-888825, Amber Gem Tower, Ajman, United Arab Emirates ("virAI", "we", "us" or "our").
2. Agreement to these Terms
By using the Services, submitting a form or booking an onboarding call, you agree to these Terms and to our Privacy Policy. If you use the Services on behalf of a business, you confirm you are authorized to bind that business. If you don't agree, don't use the Services.
3. Eligibility
You must be at least 18 years old and using the Services for business purposes. The Services are not intended for consumers acting outside a trade, business or profession.
4. What we provide
We design, configure and set up AI agents ("AI employees") for your business, such as an AI receptionist, support agent, sales assistant, media buyer or SEO specialist, and provide onboarding to help you start using them. Unless we agree otherwise in writing, our build, setup and onboarding are provided free of charge.
Features described on our pages are examples of what an AI employee can be configured to do. The exact scope of your setup is agreed on your onboarding call and may depend on the third-party platform, your plan and your existing tools.
5. Third-party platforms and fees
AI employees run on third-party software platforms (for example GoHighLevel, Google Workspace, Meta, telephony and AI model providers) ("Third-Party Platforms"). To use an AI employee you will need your own account with the relevant Third-Party Platform(s).
- Third-Party Platform subscriptions and usage fees (for example GoHighLevel plans from $97/month plus usage-based AI, call and messaging fees) are billed directly by those providers, not by us.
- Your use of a Third-Party Platform is governed by that provider's own terms and privacy policy. We are not responsible for their availability, pricing changes, outages or decisions.
- Advertising spend (for example on Meta or Google) is paid by you directly to the ad platform and is entirely separate from any subscription.
6. Your responsibilities
You are responsible for how you use your AI employee and for the content and instructions you give it. In particular, you agree to:
- Get consent before contacting people. Make sure you have all consents required by law (for example under the U.S. TCPA, CAN-SPAM, state telemarketing laws, Canada's CASL, the UK PECR and the EU GDPR) before your AI employee calls, texts or emails anyone, especially using automated or AI-generated voice.
- Disclose AI where required. Comply with laws that require you to tell people they're talking to an AI or that a call may be recorded.
- Check its output. Review ad copy, web pages, replies and other content before relying on it. Don't let an AI employee give medical, legal, financial or other regulated advice.
- Follow platform rules. Comply with the policies of each Third-Party Platform, including advertising policies.
- Protect access. Keep your account credentials secure and tell us promptly about any unauthorized use.
7. Acceptable use
You may not use the Services or an AI employee to: break any law; send spam or unsolicited robocalls; deceive, harass or discriminate against anyone; impersonate any person; collect data unlawfully; infringe anyone's rights; or distribute malware. We may suspend or stop our Services if we reasonably believe you are doing any of these things.
8. Nature of AI; no guarantee of results
AI employees use machine-learning models that can make mistakes, misunderstand requests or produce inaccurate content. They are tools to support your business, not a substitute for your own judgment.
We do not guarantee any particular result, including any number of calls answered, leads, bookings, sales, revenue, return on ad spend, search ranking or citation by AI assistants. Results depend on many factors outside our control, including your offer, market, budget and how you use the AI employee.
9. Intellectual property
We (and our licensors) own the virAI brand, website, templates, prompts, workflows and materials we create ("Our Materials"). You own your business data and content. We grant you a non-exclusive, non-transferable licence to use any Our Materials included in your setup for your own business, for as long as you use the AI employee. You may not resell or redistribute Our Materials without our written consent.
10. Paid services
If you buy any paid service from us (for example a done-for-you build beyond the free setup), the price, scope and payment terms will be set out in a separate order or proposal. Unless that document says otherwise, fees for completed work are non-refundable.
11. Disclaimer of warranties
The Services are provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy and non-infringement. We don't warrant that the Services or any AI employee will be uninterrupted, error-free or meet your requirements.
12. Limitation of liability
To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data, goodwill or business opportunities, arising out of or related to the Services, however caused. Our total liability for all claims relating to the Services is limited to the greater of (a) the amount you paid us for the Services in the 12 months before the claim, or (b) USD 100. Nothing in these Terms limits liability that cannot be limited by law.
13. Indemnification
You agree to indemnify and hold harmless virAI, ELLE VENTURES FZE LLC and their officers, employees and contractors from any claims, losses and costs (including reasonable legal fees) arising from your use of the Services or an AI employee, your content, your contact with third parties, or your breach of these Terms or of any law.
14. Suspension and termination
You may stop using the Services at any time. Third-Party Platform subscriptions must be cancelled with the relevant provider. We may suspend or end the Services at any time, including if you breach these Terms. Sections that by their nature should survive termination (including 9–14 and 17) will survive.
15. Changes
We may update the Services and these Terms from time to time. The "Last updated" date shows when they last changed. Continued use after a change means you accept the updated Terms.
16. Governing law and disputes
These Terms are governed by the laws of the Emirate of Dubai and the federal laws of the United Arab Emirates. The courts of Dubai have exclusive jurisdiction over any dispute arising from or relating to these Terms or the Services, unless mandatory law in your country of residence provides otherwise.
17. General
If any part of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent. These Terms, together with any order or proposal and our Privacy Policy, are the entire agreement between us about the Services.
